THE STEPHAN CO. ANNOUNCES LICENSING AGREEMENT FOR SIMPLY ORGANIC® LINE OF HAIR CARE PRODUCTS

Ft. Lauderdale, FL, August 22, 2005 -- The Stephan Co. (AMEX - TSC) (the “Company”) announced today that on August 18, 2005, the Company entered into a License Agreement (the “Agreement”) with Simply Organic, Inc., for the exclusive rights to manufacture, market, and distribute the SIMPLY ORGANIC® line of personal care and wellness products in all retail and certain professional channels of distribution in the Western Hemisphere.

The formulas in SIMPLY ORGANIC® hair care and skincare products substitute, whenever possible, high quality organic ingredients for synthetic chemicals to give consumers a choice when it comes to the health of their hair and skin. Utilizing olive leaf extract and other natural anti-viral, anti-bacterial, moisturizing and emulsifying ingredients, SIMPLY ORGANIC® products are currently sold in upscale salons and spas as a “wellness” alternative to main-stream beauty products.

The addition of SIMPLY ORGANIC® to its already fine collection of trademarked personal care products is the latest in a series of recent acquisitions/licensing agreements consummated by the Company. On August 3, 2005, the Company announced in a press release that it will have exclusive Western Hemisphere rights to manufacture, market and distribute the LEE STAFFORD® line of professional hair care products. (Lee Stafford is a young and electrifying celebrity British hairdresser with salons in the UK and his own line of hair care products and accessories.) Likewise, the Company recently acquired the AMERICAN MANICURE® nail care line – a fresh and less toxic alternative to the “French manicure.”
